We
have given consideration to your response to prior comment 2, where you
state your belief that because of the global nature of your business, you
operate in one segment, the Transocean Drilling Segment. Based on the
analysis you presented to support your position and the nature of your
business as you have described to us, we believe you should expand your
disclosure, in future filings, to clarify how management has chosen to
organize the business, as identified by paragraph 26(a) of SFAS 131 and
contemplated by Items 101 and 303(a) of Regulation
S-K. |
2. |
We
note your disclosure that your “Chief Executive Officer and Chief
Financial Officer concluded that [y]our disclosure controls and procedures
were effective as of March 31, 2005 to provide reasonable assurance that
the information required to be disclosed in [y]our reports filed or
submitted under the Exchange Act is recorded, processed, summarized and
reported within the time periods specified in the Securities and Exchange
Commission’s rules and forms.” Revise to clarify in future filings, if
true, that your officers concluded that your disclosure controls and
procedures are also effective to ensure that information required to be
disclosed in the reports that you file or submit under the Exchange Act is
accumulated and communicated to your management, including your chief
executive officer and chief financial officer, to allow timely decisions
regarding required disclosure. See Exchange Act Rule
13a-15(e). |
