Item 8.01 Other Events
On September 23, 2019, Transocean Ltd. (the “Company”) announced that two of its indirect wholly-owned subsidiaries, Drillship Santorini Owners Inc. and Drillship Crete Owners Inc. (collectively, the “Special Purpose Entities”) will relinquish their respective interests in two drillships under construction – the Ocean Rig Santorini and the Ocean Rig Crete (the “Drillships”) – to Samsung Heavy Industries Co., Ltd. (“SHI”). SHI and each of the respective Special Purpose Entities are parties to contracts, as amended, for the construction of the Drillships originally entered into in 2013 and 2014. The construction contracts are not guaranteed by the Company or any of its affiliates. Upon relinquishment of their respective interests in the Drillships to SHI, the Special Purpose Entities will not make further payments to SHI under the construction contracts.
A copy of the press release announcing the relinquishment of the Special Purpose Entities’ respective interests in the Drillships is being filed as Exhibit 99.1 to this Form 8-K.

Transocean Relinquishes Interests in Samsung Drillships Under Construction
STEINHAUSEN, Switzerland—September 23, 2019–Transocean Ltd. (NYSE: RIG) announced today that two of its indirect, wholly-owned subsidiaries will relinquish their respective interests in two drillships under construction – the Ocean Rig Santorini and the Ocean Rig Crete (the “Drillships”) – to Samsung Heavy Industries Co., Ltd. (“SHI”). Upon relinquishment of the Drillships, Transocean’s indirect, wholly-owned subsidiaries will not make further payments to SHI under the construction contracts. The total estimated future costs associated with the delivery and placing the Drillships into service would have been approximately $1.1 billion, which includes future payments to SHI under the construction contracts and costs related to spares, materials and supplies, and to the commissioning and mobilization of the rigs. The construction contracts are not guaranteed by Transocean Ltd. or any of its affiliates.
