ITEM  1.01     ENTRY  INTO  A  MATERIAL  DEFINITIVE  AGREEMENT.

     On August 5, 2005, Transocean Inc. approved a special cash bonus of $25,000
for  Barbara  Wood,  Vice  President  and  Chief  Information  Officer.
