ITEM  1.01  ENTRY  INTO  A  MATERIAL  DEFINITIVE  AGREEMENT.
On  March  30, 2005, Transocean Inc. approved a special cash bonus to Gregory L.
Cauthen,  Senior  Vice  President  and  Chief  Financial  Officer  of  $50,000.
